11 October 2012 - US e-commerce platform CafePress Inc (NASDAQ:PRSS) said it had sealed an agreement to buy privately-held sector firm EZ Prints Inc for an initial cash consideration of USD30m to be paid upon closing.
The buyer will pay another sum of up to USD10m within a year, depending on the target's fulfilment of certain revenue and other performance targets.
Norcross, Georgia-based EZ Prints, which was founded in 1998, offers a range of business programmes to create personalised products, as well as web tools and applications that help customers turn digital content into physical photo products.
The acquisition is seen to boost the buyer's revenue and enhance its e-commerce portfolio with a "plug and play" deployable software technology that will allow it to further expand its offering to third party corporate and licensed shops. According to CafePress's CEO, Bob Marino, the enlarged entity will have a significant brand power. For EZ Prints, the combination of the two companies, which had implemented different projects in the past, will create strong synergies.
CafePress helps individuals, groups, businesses and organisations to create, buy and sell customised and personalised products. Its portfolio of e-commerce websites includes CafePress.com, CanvasOnDemand.com, GreatBigCanvas.com, Imagekind.com, InvitationBox.com and Logosportswear.com.
The deal is seen to be wrapped up in some 15 to 45 days, subject to various closing conditions.
