 ZEOS INTERNATIONAL NAMES MARTYN RATCLIFFE PRESIDENT AND
 CHIEF OPERATING OFFICER
 ST. PAUL, Minn., Nov. 11 /PRNewswire/ -- ZEOS International, Ltd. (NASDAQ: ZEOS) today announced the appointment of Martyn Ratcliffe as president and chief operating officer, effective immediately. The title of president was previously held by ZEOS founder Gregory E. Herrick, who continues to serve as chairman and chief executive officer. Ratcliffe, a native of Lancashire, England, is an engineer by training who has held management positions in electronics, cellular communications equipment and personal computer industries, most recently serving as president and chief operating officer of VTech Computers Inc., of Beaverton, Ore., one of the top 10 U.S. personal computers manufacturers in terms of unit volume.
 In announcing the appointment, Herrick said: "ZEOS is committed to maintaining a strong management team, highly efficient operations and a leading position in the personal computer marketplace. Martyn Ratcliffe brings much to the table in each of those areas. He is a proven leader who has demonstrated enormous skill in challenging business situations, including the management of a successful restructuring in the personal computer industry.
 "His engineering background will ensure our continued ability to bring great products to market on a timely basis. His experience in Europe, including the development of an electronics operation in Holland, will serve us well as we continue to build ZEOS's international presence. In particular, his experience at VTech, whose Laser and Leading Technology brands compete in the mass merchant channel where cost control, from both a product and operations point of view, are critical, will be very valuable.
 "The addition of Mr. Ratcliffe to the ZEOS management team, together with other recent appointments, will significantly enhance our continuing efforts to properly position ZEOS for competitive success in today's very challenging business environment," Herrick said.
 Ratcliffe is an honors graduate from the University of Bath, Avon, UK, where he studied physics and electronics. He holds an MBA degree, with distinction, from the City University Business School, London, where he specialized in marketing.
 Ratcliffe was a systems marketing engineer and electronic development engineer at Marconi Secure Radio Systems Ltd., Portsmouth, UK, from 1984 to 1985. He was a regional export sales manager and product manager at MEL, a Crawley, UK-based division of Philips Electronics, from 1985 to 1987. He then held, through 1991, a number of management positions with three affiliated cellular equipment companies, Nokia Mobile Phones (Finland), Technophone Ltd., Camberley, UK, and Technophone Corporation, Florida, including Nokia's vice president of North America and Technophone's president/chief operating officer and director, USA.
 As president and chief operating officer of VTech, Ratcliffe was responsible for merging two entrepreneurial operations (one in Chicago and one in Portland, Ore.) into a $250 million company engaged in marketing IBM-compatible personal computers through the mass retail channel.
 ZEOS International, Ltd., manufactures and markets, direct to end users, ISA and EISA (Industry and Extended Industry Standard Architecture) personal computer systems and workstations worldwide. The company also provides manufacturing services under the name NPC electronics, distributes passive electronics components through its Parts1 distribution division and provides contract product design services through its PC Tech subsidiary.
