ZEOS ENTERS AGREEMENTS TO SELL TWO OPERATING DIVISIONS

 MINNEAPOLIS, Jan. 20 /PRNewswire/ -- ZEOS International, Ltd. (NASDAQ: ZEOS) today announced that it has entered into separate agreements to sell two operating divisions which are not essential to its core business strategy.
 In its continued effort to streamline operations and to focus on its primary business activities, ZEOS has completed the sale of certain assetsr?elated to its NPC Electronics division and has entered into a separate agreement for the future sale of certain assets and obligations related to its Parts1 division. Net sales, operating results and asset values attributable to these divisions have not been significant in relation to ZEOS as a whole.
 NPC Electronics, located in New Brighton, Minn., is a contract manufacturer of printed circuit-board assemblies. The sale of NPC Electronics marks ZEOS's departure from the board-level contract manufacturing business.
 THe company's Parts1 division operates as a Roseville, Minn.-based distributor of passive electronic components. The planned sale of Parts1 is subject to the occurance of certain future events, including the buyer's completion of an outside financing package.
 Gregory E. Herrick, ZEOS chairman and chief executive officer, said: "The sale of NPC Electronics and our planned sale of Parts1 represent two further actions which have been taken to increase operating efficiencies and improve our focus on the business of manufacturing and marketing personal computers. The divestitures of Parts1 and NPC Electronics will allow even more of the company's financial, managerial and administrative resources to be directed toward providing our customers with high-quality, value-focused personal computer products."
 ZEOS International, Ltd., headquartered in Minneapolis, Minn., manufactures and markets, direct to end users, ISA and EISA (Industry Standard Architecture and Extended Industry Standard Architecture) personal computer systems and workstations based on the Intel 80386 and 80486 and Cyrix 486SLC microprocessor families worldwide and provides engineering services through its PC Tech electronic design group.
