Windstream files proxy, says executive pay lower in 2009.

Compensation for executives at Windstream Corp. of Little Rock was down slightly last year, according to the company's proxy statement, which was released Wednesday.

Total compensation for CEO and President Jeff Gardner in 2009 was $6,019,817, down 10 percent from 2008. COO Brent Whittington earned $1,838,083 in 2009, down 11 percent year over year, while John P. Fletcher, executive vice president, general counsel and secretary, earned $1,318,835, a 16 percent drop from 2008. Richard J. Crane, executive vice president and chief marketing officer, earned $950,054 last year, down 8 percent from 2008.

Windstream also announced it had disbursed $17.4 million to Francis X. Frantz, former chairman of the board of that company and former chairman of Alltel. The payment was a lump sum distribution of the entire balance of Frantz's deferred compensation arrangement, which was approved by Alltel before it was spun off from Windstream, according to the proxy statement.

The company announced it would host its annual stockholder meeting at 11 a.m. May 5 at the Capital Hotel in Little Rock.
