WORLD SATELLITE NETWORK

 MINNEAPOLIS, May 3 /PRNewswire/ -- World Satellite Network, Inc. (NASDAQ: WSNT)(WSN) announced today that it has completed the acquisition of substantially all of the operating assets of National Satellite Programming Network, Inc. (NSPN), a Texas company. The NSPN operating assets consist of customer contracts, accounts receivable, computer software and customer lists.
 WSN is a distributor of satellite television programming services to the cable television industry. NSPN was engaged in the same business. WSN's revenues for the fiscal year ended Aug. 31, 1992 were $6.2 million, and NSPN's revenues for the year ended Dec. 31, 1992 were $8.9 million.
 WSN's CEO, Jeff Maxwell stated: "We believe this transaction is the corner stone for future development of our business. With the current reregulation of the cable industry, our expanded services will enhance our customers capability to compete and expand their business."
 The acquisition was financed with a term loan and line of credit from Century Bank N.A., Eden Prairie, Minn. and by private placement to accredited investors.
 Financial advisory services were provided by the firm of Vekich Arkema and legal representation was provided by Fredrikson & Byron, Minneapolis.
 WSN is traded on the over-the-counter market under the symbol WSNT.
