 WITH DESIGN IN MIND FILES SUPERIOR COURT COMPLAINT
 AGAINST FORMER OFFICIALS
 CHATSWORTH, Calif., Sept. 8 /PRNewswire/ -- With Design In Mind International Inc. (NASDAQ: WDIM) has announced it has filed a complaint in the Superior Court of the State of California, County of Los Angeles, against Steve Zuloff, former WDIM chairman and chief executive officer; Barry R. Benjamin, former WDIM president and chief financial officer; David S. Benjamin, son of Barry R. Benjamin and former vice president and secretary of WDIM and president of DKJ Sales Inc.; Beyond Tomorrow, Inc. (BTI), a California corporation and DKJ Sales, Inc.
 Causes of action listed in the complaint include breach of fiduciary duty, embezzlement, conversion, fraudulent misrepresentation, fraudulent concealment, civil conspiracy and unjust enrichment.
 Among the allegations of the complaint are that defendants exercised their positions within WDIM companies to divert funds from WDIM's corporate checking account and commission payments from a WDIM product distributor, and that they caused unearned sales commissions to be paid to DKJ, a company alleged to be owned by children of Steve Zuloff and Barry Benjamin. In addition, the complaint alleges that more than $600,000 in WDIM funds were misappropriated by the defendants for the personal benefit of the defendants and their family members.
 The complaint alleges that as a result of defendants' wrongful conduct, damages to WDIM companies that have been identified to date total $2.1 million.
 As previously reported, the WDIM board of directors learned of allegations of misconduct by Steve Zuloff and Barry Benjamin in June 1992. The board took immediate action to obtain Messrs. Zuloff's and Benjamin's resignations as officers and directors. The board appointed a special committee comprising the remaining board members to investigate the allegations. The special committee retained independent legal counsel and obtained the cooperation of the company's auditors in conducting the investigation.
 At the conclusion of the investigation, the company demanded restitution by Mr. Zuloff and Barry Benjamin in the amount of approximately $2.1 million, the amount the company believed to be misappropriated or improperly diverted, and reimbursement of approximately $150,000 of expense incurred in the investigation. The board reported that Mr. Zuloff and Mr. Benjamin have refused to make restitution.
 With Design In Mind has notified the Securities and Exchange Commission (SEC) of the alleged misconduct and the company's actions related to the investigation. An investigation of the allegations by the SEC is pending.
