WILLIAMS INDUSTRIES INDUCTS NEW OUTSIDE DIRECTOR

 FALLS CHURCH, Va., June 29 /PRNewswire/ -- Williams Industries, Inc. (NASDAQ: WMSI) today announced that John A.H. Shober, the former CEO and President of the Penn Virginia Corporation, has joined the Williams Board of Directors by virtue of a special election under the company's by-laws. Shober, who also serves on a number of other boards in the Philadelphia and New York City areas, will be an "outside" director under the SEC definition of the term.
 Shober fills a seat which was deliberately left vacant by Williams Industries shareholders and management during the annual meeting in November 1992. At that time, Williams CEO Frank E. Williams, Jr., told shareholders that the company would diligently search for "an outstanding candidate with strong experience and knowledge in the banking and financial community" to fill the seat occurring from the retirement of F. Everett Williams. Shober's qualifications, Williams said at the time of his election, definitely make him the proper selection for the board.
 In addition to his extensive experience with Penn Virginia, Shober has been actively involved with Betz Laboratories, Airgas Inc., and Germantown Savings Bank. He is a graduate of Yale University with a law degree from Temple University.
 "Mr. Shober's experience in the financial and international capital communities will be invaluable to Williams Industries as we restructure the corporation to maximize profitability in the 1990s," according to CEO Frank E. Williams, Jr.
 In accepting his election, Shober said he was "looking forward to being involved with Williams Industries at a dynamic and fascinating time in the company's history," adding that he "believes the company has only scratched the surface of its real potential."
