WILLIAMS INDUSTRIES: SHAREHOLDERS ELECT DIRECTORS; CFO RESIGNS

 FALLS CHURCH, Va., Nov. 29 /PRNewswire/ -- Frank E. Williams Jr., CEO of Williams Industries, Inc. (NASDAQ-NMS: WMSI) today announced the election of the company's board of directors and the resignation of the company's Chief Financial Officer (CFO). Arthur V. Conover, III, CFO, vice president of finance, and secretary, publicly announced his resignation at the shareholder's meeting on Nov. 20.
 William C. Howlett, James W. Liddell, George R. Pocock, Eva S. Poling, Dr. John Rasmussen, John A. H. Shober, Frank E. Williams, III, and Frank E. Williams Jr. were elected as directors by the shareholders. The board position previously filled by Mr. Conover was left vacant.
 Conover, who had been with Williams Industries since 1967, resigned to head Concrete Structures, Inc., a Williams' subsidiary in Richmond, Va. The Williams' board voted in April to sell Concrete Structures because it does not fit into the long range plans of Williams Industries. Proceeds from the sale will be used to reduce bank debt. The company previously has been listed for sale with a business broker. Mr. Conover has been given an option to purchase the company at a predetermined price if the business broker does not produce an acceptable offer within a specified time period.
 Corporate officers for 1994 were elected by the board of directors in the annual organizational meeting immediately following the shareholders' meeting. They are: Frank E. Williams Jr., chairman, chief executive officer, and president; James W. Liddell, vice president of contingent operations; Frank E. Williams, III, vice president of core operations; George R. Pocock, vice president of financial services; Marianne V. Pastor, secretary; and Christ H. Manos, corporate comptroller. Mr. Williams Jr. will serve as acting chief financial officer on an interim basis.
