WILLIAMS CONTROLS SIGNS LETTER TO ACQUIRE KENCO

 PORTLAND, Ore., July 23 /PRNewswire/ -- Williams Controls, Inc. (NASDAQ: WMCO) today announced that it has entered into a memorandum of intent to acquire substantially all the assets of Kenco Division of Sparkomatic Corporation (of Milford, Pa.). The Kenco Division is an automotive and light truck accessory manufacturer doing business in Middlebury, Ind. Sparkomatic has owned and operated Kenco as a separate division since 1986. This announcement is being jointly made by the Chairman of the Board of Directors of Williams, Thomas W. Itin, and Sparkomatic's Chairman, Edward Anchel.
 "Kenco represents an ideal strategic fit for Williams," said Itin. "Its products complement those of Williams. We take great pride in this acquisition in that it is not often that opportunities involving the reputation and capabilities of Kenco come along." Itin noted further, "Kenco has great further potential given the demand for trucks in today's market."
 Kenco is one of America's leading manufacturers of aftermarket and light truck accessories. Kenco designs, manufactures, markets and distributes an extensive product assortment of accessories for light trucks, cars, vans and the very popular Sport Utility Vehicles, including Explorer, Blazer, Suburban and Grand Cherokee. Kenco is known for its truck bed mats, bug shields, custom-fit running boards and a number of other popula accessories. Kenco will continue to operate from its current manufacturing and warehouse facilities (139,000 square feet) in Middlebury, but as a wholly owned subsidiary of Williams.
 The acquisition is subject to a number of contingencies including the signing of a definitive agreement.
 Kenco's products are typically sold through several of North America's leading mass merchandisers, including Kmart, Wal-Mart, Western Auto, and automotive chains such as Pep Boys, Nationwise, and Auto Source.
 Williams Controls, Inc. manufactures a wide range of electronic controls, pneumatic and hydraulic controls, and exhaust brakes which are used primarily in the heavy vehicle industry worldwide.
