 WESTERN OHIO ANNOUNCES PLANS TO MERGE WITH
 NATIONAL LEADER IN MANAGED CARE
 DAYTON, Ohio, Nov. 13 /PRNewswire/ -- The board of directors of Western Ohio Health Care Corporation today voted to merge the company with United HealthCare Corporation (NYSE: UNH) of Minnetonka, Minn. The decision now moves to Western Ohio's shareholders and government regulatory agencies for final approval.
 In making the announcement, Western Ohio Chairman Jon D. Rahman, M.D., expressed his enthusiasm for the potential merger. "United HealthCare's vast resources will help Western Ohio advance this community's access to high quality, cost-effective health care now and for the future."
 He went on to add that the merger would have no near-term effect on either the benefits already in place for some 226,000 Western Ohio members or the health care premiums of nearly 500 Greater Miami Valley employers who have selected Western Ohio to provide health care coverage for their employees. "As a matter of fact, we believe that a merger with United HealthCare will only strengthen our quality assurance and cost containment capabilities, vital services which the community looks to Western Ohio to deliver."
 Jeffrey R. Leland, Western Ohio's president, cited the strong strategic and qualitative fit between the two companies. "United HealthCare shares our commitment to the consumers, purchasers and providers of health care services. They actively work with their locally based health maintenance organizations and value the input of area providers into programs and services which meet the health care needs of the local market."
 Leland said that United HealthCare's management approach recognizes the local nature of health care delivery. "The company works to build on and strengthen existing client and provider community relationships, blending the benefits of its health plans' autonomy with the value-added of United's extensive range of specialized cost and quality management and information systems capabilities."
 United HealthCare Corporation currently serves nearly 19 million lives nationwide. The company offers a broad range of products through 19 locally based health plans and nine non-geographically bounded specialty care management companies. The company's services include: HMOs, PPOs, health plan management, pharmaceutical cost management, managed mental health and substance abuse services, utilization management, workers compensation/casualty services, specialized provider networks, employee assistance services, Medicare and managed care programs for the aged, health care evaluation services, information systems and administrative services. United's revenues exceeded $800 million in 1991, with 1992 revenues projected at $1.5 billion.
 Western Ohio Health Care Corporation is a managed care company based in Dayton, Ohio, serving 19 southwestern Ohio counties.
