WESCO AUTO PARTS MERGER AGREEMENT WITH REDDI BRAKE

 WEST COVINA, Calif., April 28 /PRNewswire/ -- Wesco Auto Parts Corporation (NASDAQ: WSCO) announced today that it has entered into a definitive agreement for the merger of Reddi Brake Supply Company, Inc. into a Wesco subsidiary. The agreement, which is subject to the satisfaction of various conditions, provides for the payment to the Reddi Brake shareholders of 583,500 shares of Wesco Common Stock and $1,550,000 in cash. Based upon the performance of Reddi Brake during the fiscal year ending June 30, 1995, the Reddi Brake shareholders could receive additional Wesco shares having a value at time of issuance of up to $2,200,000.
 Reddi Brake, which is privately held, distributes automotive after- market parts primarily to repair shops and parts installers from 11 California locations. During its fiscal year ended Sept. 30, 1992, Reddi Brake had revenues of approximately $10,000,000. Reddi Brake revenues in fiscal 1991 and 1990 were approximately $9,000,000 and $7,000,000, respectively.
 Wesco, which reported revenues of $10.8 million for the six months ended Dec. 31, 1992, sells automotive after-market parts, products and accessories to both do-it-yourself and commercial customers from nine facilities in Southern California.
 Commenting on the anticipated merger, Allen J. Sheerin, Wesco's chairman and CEO, said, "The acquisition of Reddi Brake will provide Wesco with a real presence in the important undercar parts segment of the market and a solid platform from which to launch Wesco's expansion within that niche."
 According to Bruce Douglass, president of Reddi Brake, "As part of the Wesco organization, Reddi Brake will be able to implement its ambitious expansion plans and to benefit from being part of an aggressive, innovative company that is beginning to make its impression on the automotive after-market parts industry."
 In addition to its new Partsmart, Wesco operates seven Wesco superstores and one Wesco undercar supply store in Southern California which sell automotive after-market parts, products and accessories to both do-it-yourself and commercial customers.
