VIDEOCART ANNOUNCES NEW CHIEF EXECUTIVE AND CORPORATE RESTRUCTURING

 CHICAGO, March 23 /PRNewswire/ -- VideOcart, Inc. (NASDAQ: VCRTC), today announced a corporate restructuring which includes significant expense reductions and a realignment of its executive office.
 The company has initiated steps that will lead to a reduction in its
payroll expenses by approximately 15 percent. Additionally, it is actively negotiating the sale of its non-strategic software business located in Australia. None of these steps will result in any further charges to earnings.
 Upon the recommendation of its founder and Chairman John Malec, the board of directors appointed Ronald E. Spears as chief executive officer in addition to his position as president. Malec will remain as chairman.
 Malec said, "VideOcart recruited an individual of Ron Spears' caliber in 1991 with the intent of moving him into the CEO job. As we now move from a period of development into commercial operation, the transfer of this responsibility now is timely and deserved. The company is taking necessary steps to reduce expenses while continuing to increase revenue through the addition of stores and introduction of new revenue products. As the company's largest shareholder, I applaud these steps and express my full confidence in Ron Spears and the management team now charged with fulfilling these objectives."

 VideOcart is a micro-marketing media company, which installs and maintains a communication network consisting of programmable and targetable digital communications to video displays affixed to grocery shopping carts. This communications network, now installed in supermarkets across the country, allows consumer product goods manufacturers to reach consumers at the exact aisle location of the brand being advertised or promoted with a flexible video message.
