VERSAR SUBSIDIARY MERGED INTO PARENT COMPANY

 SPRINGFIELD, Va., Aug. 10 /PRNewswire/ -- Versar, Inc. (AMEX: VSR), announced the merger of its wholly owned subsidiary, Versar Architects and Engineers, Inc. (VA&E), into Versar, Inc. This action, which has been contemplated for some time, was delayed pending the resolution of the bankruptcy of the subsidiary in February 1993. The merger will enhance the ability of the entities to work together to fulfill the corporate strategic plan to provide clients in the Rocky Mountain area with a broad range of environmental and remediation services, while allowing for a series of cost reductions through the simplification of administrative procedures. The entity will become the Rocky Mountain region of Versar, Inc. As a result of the merger, Versar is pleased to announce the following executive appointments in the Rocky Mountain region:
 -- C. Neal Carpenter, vice president, Arizona Office;
 -- Craig Peterson, vice president, Business Development;
 -- Lorin Powell, vice president, Utah Office;
 -- Robert Shreve, vice president, Architectural Services.
 Mark Swatek, formerly president of VA&E, has been named to senior vice president of Versar, Inc., in charge of the Rocky Mountain region.
 Ben Rawls, president and CEO of Versar, said: "We are pleased to effect this merger at the beginning of our new fiscal year. It fulfills an important benchmark in our strategic plan that is aimed at reducing costs and increasing the range of services that we offer our customers."
 Swatek said: "This merger will create a stronger, more versatile company to serve the environmental needs of our service area. We plan to expand the environmental engineering capabilities of each of our offices through hiring strong environmental professionals while maintaining our traditional business liens of civil and transportation engineering, architecture and asbestos remediation."
 Concurrently, the Versar board of directors named James Frantes to vice president and manager of the Pacific Region and Robert F. Murphy to vice president and manager of the Northeast Region.
 Rawls said, "I am happy to announce the promotion of Mr. Frantes and Mr. Murphy to vice presidents. These promotions signify the growth and increased importance of these regions to Versar."
