VERSAR ANNOUNCES NEW CHAIRMAN OF THE BOARD

 SPRINGFIELD, Va., Nov. 19 /PRNewswire/ -- Versar, Inc. (AMEX: VSR), announced today the election of Benjamin M. Rawls as chairman of the board of directors in addition to his current position as president and chief executive officer. Rawls, who was elected president and CEO of Versar in April 1991, will assume the role of chairman immediately, replacing Dr. Michael Markels Jr. who will now assume the role of chairman emeritus.
 Rawls has over 21 years of experience in the environmental business including the chairman of the board and president of two other national environmental firms. Since joining Versar, Rawls has put together a new management team which has helped turn the company around, resulting in two profitable quarters, the fourth quarter of FY93 and the first quarter of FY94.
 Rawls said: "Based upon this vote of confidence by our board of directors, I will redouble my efforts to position Versar as a key player in the environmental marketplace. While we expect to have challenges to profitability in the next few months, I am confident the long-term outlook for Versar is positive."
 Markels, founder, president and CEO from 1969 to 1991 and chairman of the board for 25 years, said: "Changes in the environment marketplace have required a rebirth of Versar to position us for our second quarter century. We are already well along in that process under Mr. Rawls' able leadership. I congratulate Ben on his new position and wish him every success."
 Rawls stated at Versar's annual stockholder's meeting held yesterday that, "We see the role of the environmental consultant changing; helping clients prevent pollution, and achieve environmental excellence while reducing the costs of compliance. We believe those firms that can help clients integrate environmental consideration into their business activities and decisions in a way that improves the bottom line will be the real winners. Versar is on a track in this direction." He went on the further state: "We, at Versar, are working on efficiency, improved quality, recruiting critical staff, extending geographical coverage and technical depth. We aim to be profitable and build value over the long term."
