 VENTURIAN CORP. ACQUIRES PC EXPRESS
 MINNEAPOLIS, Oct. 27 /PRNewswire/ -- Venturian Corp. (NASDAQ: VENT)


announced today that it has acquired PC Express, Inc. of Richfield, Minn., in an all-cash transaction. The price and terms of the transaction were not disclosed. No Venturian shares were exchanged.
 Gary B. Rappaport, Venturian chairman, said that based on 1992 performance, the acquisition would add $25 million to Venturian's annual sales and more than $1 million to pretax profits. For the six months ended June 30, 1992, Venturian reported net income of $329,000 on net sales of $15,008,000.
 Rappaport said that Venturian has been searching for several years for an appropriate diversification opportunity and has been studying the personal computer distribution business in particular.
 "PC Express has an outstanding growth strategy for an industry where the products are fast becoming commodities," said Rappaport. "The company assembles computers to customer-specified configurations, using the industry's finest components. These machines are offered at competitive prices by a strong business-to-business sales force, backed by a strong warranty policy, and supported by an extensive service operation with a well-deserved reputation for quality."
 PC Express also offers microcomputer repair and upgrade services and service contracts on all DOS(R)-compatible machines. The company's Richfield headquarters also serves as a retail outlet.
 Rappaport explained that Venturian's Napco division, which uses computers to track millions of spare parts for military equipment, transferred its management information systems from a mainframe computer to a network of personal computers in the last year. "We did a lot of shopping to get that job done. PC Express gave us the best prices and best on-site service of any of the vendors," said Rappaport.
 Michael Modares, 41, who founded PC Express 10 years ago, will remain as president through 1992 and will serve as a marketing consultant to the company for several years thereafter.
 "Modares pioneered a unique means of distributing personal computers," said Rappaport. "The PC Express formula offers customers extensive system-configuration options at affordable prices, as well as the service and support business users require. As the microcomputer distribution business evolves, we think the winners will be companies offering their customers the most front-end help and best after-sale service. Strong regional companies like PC Express are best positioned to deliver that kind of attentive, responsive service," said Rappaport.
 Rappaport said Venturian brings PC Express access to capital for further expansion or complementary acquisitions, as well as opportunities to sell computers to Napco's traditional government customer base, both foreign and domestic.
 Venturian Corp., through its other wholly owned subsidiary, Napco International Inc., is a supplier of a wide variety of defense-related spare, replacement and modernization parts to the U.S. government and to the governments of over 60 nations worldwide.
