United States : Simpson Thacher Represents Celulosa Arauco in its Acquisition of Leading North American Wood Panel Manufacturer.

Simpson Thacher represented Celulosa Arauco y Constitucion S.A., a Chilean corporation, in its purchase of all of the shares of Flakeboard Company Limited, a Canadian company which owns and operates seven production facilities in the United States and Canada and is the largest producer of composite wood panels in North America. The transaction value including assumed debt was approximately US$434.7 million. The transaction closed on September 24, 2012.

The Simpson Thacher team for the transaction includes David Williams, Ed Chung, John Kupiec and Bianca Bowen (M&A), Michael Isby (Environmental), David Rubinsky and Samantha Shipp (Executive Compensation and Employee Benefits), and Rob Holo, Drew Purcell and Beatrice Larkin (Tax).
