United Kingdom : Consent Solicitation: Extension of Expiration Time.

Seven Energy Finance Limited refers to its announcement dated 27 October 2016 in relation to the consent solicitation seeking the consent of holders of the $300,000,000 of 10 % Senior Secured Notes due 2021 issued by the Company pursuant to an indenture dated as of 10 October 2014 between the Company, certain guarantors listed therein, Law Debenture Trustees Limited as trustee, The Law Debenture Trust Corporation P.L.C. as security agent, Standard Chartered Bank as Mauritian security agent, Deutsche Bank AG, London Branch as paying agent and Deutsche Bank Luxembourg S.A. as registrar and transfer agent to certain proposed amendments to the Indenture and the Notes. Capitalised terms used but not defined in this announcement have the same meaning ascribed to them in the 27 October Announcement.

As set out in the 27 October Announcement, the Expiration Time in connection with the Consent Solicitation was 10:00 a.m., Brussels Time, on 18 November 2016, unless extended or earlier terminated by the Company in its sole discretion, provided that the Expiration Time shall under no circumstance occur later than 20 December 2016. The Company announces that the Expiration Time in connection with the Consent Solicitation shall be extended until 10:00 a.m., Brussels Time, on 28 November 2016, unless extended or earlier terminated by the Company in its sole discretion, provided that the Expiration Time shall under no circumstance occur later than 20 December 2016. As of 6:00 p.m. Brussels time on 17 November 2016, the Information and Tabulation Agent had received Consents in connection with the Consent Solicitation from 72.06% of the Holders of the Notes.
