 UWSI ANNOUNCES JOINT VENTURE, PLANS TO PURCHASE HMO
 MILWAUKEE, Dec. 4 /PRNewswire/ -- Officials from United Wisconsin


Services (NASDAQ:UWSI) announced the signing of a letter of intent between UWSI, Blue Cross & Blue Shield United of Wisconsin (BC&BSU), UWSI's parent company, and the Midelfort Clinic headquartered in Eau Claire, Wisconsin. As part of the venture, UWSI will purchase the Midelfort Health Plan (MHP), Midelfort Clinic's health maintenance organization (HMO).
 Through the proposed new venture, Midelfort and BC&BSU will offer a variety of health plans to residents of northwestern Wisconsin, including: a health maintenance organization (HMO); a preferred provider organization (PPO); and a point-of-service plan (POS). The HMO product for the joint venture will be provided by MHP, without interruption of service to current MHP subscribers.
 "This venture combines the knowledge and experience of the state's oldest and largest health insurer and one of the state's premier physician organizations," said Thomas R. Hefty, president and chief executive officer of UWSI. "For UWSI, this venture means an expansion of our HMO business through the addition of an established, stable HMO."
 Consummation of the joint venture and the acquisition of the Midelfort Health Plan by UWS is expected to occur in January, 1992, but is subject to certain conditions including obtaining necessary regulatory and third party approval, and negotiating definitive agreements.
 Midelfort Clinic Ltd. was founded in 1927 by Dr. Christian Midelfart. It is one of the state's larger multi-specialty groups with nearly 700 employees including over 90 physicians representing almost every medical specialty. Midelfort is also one of west central Wisconsin's largest employers.
 United Wisconsin Services, Inc., a publicly held subsidiary of Blue Cross & Blue Shield United of Wisconsin, is a leading provider of group health insurance and managed health care services, primarily in Wisconsin.
