USLIFE HOLDS ANNUAL MEETING; SHAREHOLDERS ELECT SIX DIRECTORS; APPROVE INCREASE IN NUMBER OF AUTHORIZED SHARES OF COMMON STOCK; AND RATIFY APPOINTMENT OF INDEPENDENT AUDITOR

 NEW YORK, May 18 /PRNewswire/ -- At the annual meeting of USLIFE Corporation (NYSE: USH) held here today, shareholders re-elected five Class III directors, Gordon E. Crosby Jr., Greer F. Henderson, Thomas H. Lenagh, Franklin R. Saul and Robert L. Shafer, for a term expiring in 1996. Christopher S. Ruisi was elected by shareholders for the first time as a Class I director for a term expiring in 1994. The vote in favor represented at least 98 percent of those shares present at the meeting and at least 82 percent of those outstanding.
 Shareholders approved a proposal to amend the Certificate of Incorporation to increase the number of authorized shares of common stock from 40,000,000 to 60,000,000, with 17,688,075 shares voted for approval; with 1,011,688 shares voted against approval; and 119,445 abstained.
 Shareholders also ratified the appointment of KPMG Peat Marwick as independent auditor of USLIFE Corporation for the fiscal year ending Dec. 31, 1993. The vote was 18,678,507 for; 65,546 against; and 75,155 abstaining from voting.
