 USLIFE CORPORATION HOLDS ANNUAL MEETING;
 SHAREHOLDERS ELECT FIVE DIRECTORS AND APPROVE INDEPENDENT AUDITOR
 NEW YORK, May 19 /PRNewswire/ -- At the annual meeting of USLIFE Corporation (NYSE: USH) held here today, shareholders elected five directors. Kenneth Black, Jr., Austin L. D'Alton, Eben W. Pyne, William A. Simpson and Pinkney C. Walker, Class II directors, were re-elected for a term expiring in 1995. The vote in favor represented at least 98.9 percent of those shares present at the meeting and at least 83.9 percent of those outstanding.
 Shareholders also ratified the appointment of KPMG Peat Marwick as independent auditor of USLIFE Corporation for the fiscal year ending Dec. 31, 1992. The vote was 12,730,670 for; 51,630 against; and 63,850 abstaining from voting.
