USA WASTE SERVICES ENTERS HOUSTON MARKET WITH BUSINESS ACQUISITION
DALLAS, March 3 /PRNewswire/ -- USA Waste Services, Inc. (NASDAQ: USAS) announced today that it had acquired a majority interest (55 percent) in Best Pak Disposal, Inc. for $7.5 million cash and 100,000 shares of USA Waste common stock. Best Pak, with annual revenues of approximately $16 million for fiscal 1991, is the largest independent solid waste collection and hauling entity operating in the Houston market. Best Pak also has operations in Beaumont, Texas. Funds for the acquisition were provided by USA's bank credit facility, available working capital and additional subordinated debt financing.
Terry W. Patrick, USA Waste's president, stated that the acquisition further strengthened the company's position in Texas by adding new markets to USA Waste's existing core operations south of Dallas and in San Antonio. Patrick further noted that USA Waste was impressed with Best Pak's operating equipment, people and quality of service. As part of the agreement, the former owner/management team of Best Pak will continue to work with USA Waste for a transitional period.
USA Waste completed a series of five business acquisitions at or near year end 1991, and when coupled with this recent acquisition, is currently generating annual revenues of approximately $50 million. USA Waste's revenues for fiscal 1991 were $19.4 million.
USA Waste, based in Dallas, is a fast growing solid waste management company, performing both waste collection and disposal services in multiple locations nationwide.
