USA WASTE SERVICES ANNOUNCES ACQUISITION IN PHOENIX

 DALLAS, May 18 /PRNewswire/ -- USA Waste Services, Inc. (NASDAQ: USAS) announced today that it had exercised its option to acquire Custom Disposal Services, Inc., a Phoenix, Ariz. solid waste collection company, for 262,231 shares of USA Waste's common stock and the assumption of approximately $1.7 million in third party indebtedness. Custom, which serves 2,600 commercial and industrial customers in the Phoenix market, currently generates approximately $8,400,000 per year in operating revenues.
 Donald F. Moorehead Jr., USA Waste's chairman and CEO, stated that the penetration of the Phoenix market represented another step in the company's goal to expand its base of operations from the central corridor of the country to the Southwest and eventually the Southeast. "We are very enthusiastic about the Phoenix market and the potential integration of this acquisition with landfill, transfer and recycling opportunities available to us in the area," noted Moorehead.
 In September 1992 USA Waste had entered into a Management Agreement with Custom, and as part of that arrangement, USA Waste was paid certain fees and obtained an option to acquire the Arizona firm. Since that time, and under USA Waste's direction, Custom has more than doubled its revenue base and is now being brought into the company's fold as a wholly-owned subsidiary.
 USA Waste, based in Dallas, is a rapidly growing solid waste management company performing both waste collection and disposal services in multiple locations nationwide.
