USA WASTE EXPANDS ITS LANDFILL OPERATIONS

DALLAS, Jan. 7 /PRNewswire/ -- USA Waste Services, Inc. announced today that it had entered into a five year management agreement with Gallatin National Company to manage and operate the recently completed Gallatin Landfill in Fulton County, Illinois. The Gallatin National facility is in compliance with new Subtitle D Federal regulations and Subtitle G State regulations in Illinois. It is the intent of Gallatin National and the Village of Fairview, Ill. to provide a modern, environmentally-protective landfill for long-term use. In addition to the management agreement, USA Waste has agreed, subject to certain conditions, to invest funds in Gallatin National upon the opening of the facility. These funds will include a $9 million investment in return for 19 percent equity stake in Gallatin, and an $11 million loan to Gallatin in the form of a 10 percent, five year promissory note. The funds will be used by Gallatin National to repay any indebtedness for construction, as well as maintain a balance available for general corporate purposes.
Gallatin, which owns approximately 3,200 acres of land in Fulton County, Illinois, has successfully zoned 995 of such acres for landfill use, and is completing the construction of the first phase of the 80 acres currently permitted for landfill development by the State of Illinois under its new stricter regulations. Donald F. Moorehead Jr., USA Waste's chairman and CEO, stated that the landfill's size and state- of-the-art design make the Gallatin Landfill one of the more attractive landfill assets in the country. "We will work diligently to develop this long-life asset in a strategic and environmentally safe manner," Moorehead noted. He also stated that USA Waste looks forward to working with Gallatin National and continuing its long-term relationship with the Village of Fairview.
USA Waste which owns six other landfills is a rapidly growing solid waste management company performing both waste collection and disposal services in multiple locations nationwide.
