UPJOHN ANNOUNCES EXECUTIVE CHANGES

 KALAMAZOO, Mich., April 14 /PRNewswire/ -- In a special meeting held today because of a sudden deterioration in the medical condition of Upjohn Chairman and CEO Theodore Cooper, M.D., the Board of Directors elected Ley S. Smith president and chief operating officer and William U. Parfet a vice chairman.
 Smith, who had previously held the position of vice chairman, will as president and COO also assume responsibilities of the chief executive officer in Cooper's absence, and continue his current responsibilities for the worldwide pharmaceutical business. Parfet, who had previously held the post of president, will continue to be responsible for the company's allied health businesses, worldwide manufacturing and finance.
 Vice Chairmen Jerry R. Mitchell, M.D. and Mark Novitch, M.D. will continue with their current responsibilities.
 "We are all very concerned for Dr. Cooper and his family and disappointed in this setback in what appeared to be a good recovery," said William D. Mulholland, senior outside member of the Board Executive Committee. "We are fortunate, though, that we had the benefit of discussions with Dr. Cooper over the past few months in our deliberations today."
 Cooper was diagnosed with multiple myeloma in January and had received radiation and chemotherapy. He recently returned to the University of Virginia Medical Center for accelerated chemotherapy.
 The Board of Directors was notified Tuesday that Dr. Cooper had been moved into intensive care as a result of a lung infection and respiratory failure. His condition is critical but stable.
 Smith joined Upjohn in Canada as a salesman in 1958 and held a number of sales posts before being appointed general manager of the company's Canadian operations in 1971. He has since served as division vice president for Europe North; group vice president for Western Hemisphere and Canada; corporate vice president and general manager for international; and executive vice president. He became a member of the company Board of Directors in 1988 and was promoted to vice chairman in 1991.
 Parfet served as corporate vice president and treasurer of The Upjohn Company from 1984 to 1988 and was corporate vice president for consumer products, Health Care Services and pharmaceutical strategic planning until January 1989, when he was promoted to executive vice president. He was elected president in January, 1991, and has been a member of the Board of Directors since 1985. He joined the company in 1973.
