 UNIVERSAL VOLTRONICS COMPLETES ACQUISITION OF
 KEYTEK INSTRUMENT CORPORATION
 MT. KISCO, N.Y., June 8 /PRNewswire/ -- Universal Voltronics Corp. (ASE: UVL) has completed its previously announced acquisition of KeyTek Instrument Corp., a privately held manufacturing company located in Wilmington, Mass., for approximately $8.2 million in cash. KeyTek manufactures instruments for test and measurement applications.
 The funds for the acquisition were provided by internal cash and proceeds from the issuance to Thermedics Inc., (AMEX: TMD) the parent of Universal Voltronics, of a $7.5 million principal amount 6.75 percent subordinated convertible note due 2002. The note is convertible into shares of Universal Voltronics common stock at a price of $3.20.
 "KeyTek's instruments will significantly expand the line of products we can offer to our commercial customers," said Barry Ressler, president of Universal Voltronics. "Furthermore, by pooling our technological and financial resources, Universal Voltronics and KeyTek together should develop new opportunities in the U.S. and internationally."
 KeyTek is a leading designer, developer, and manufacturer of instruments and systems that simulate the effects of pulsed electromagnetic interference and power interruptions. These products are used by a wide variety of companies throughout the world to test the ability of their components and systems to withstand short-duration, high-energy pulses caused by lightning or electrostatic discharge, power disturbances caused by power interruptions or power surges, and high-frequency transients caused by power switching. KeyTek reported revenues of approximately $8 million in 1991.
 Universal Voltronics designs and manufactures high-voltage power conversion systems for scientific and energy research, industrial, medical, and defense applications. Universal Voltronics is a subsidiary of Thermedics Inc. and Thermo Electron Corporation (NYSE: TMO).
