UNITED STATES CELLULAR CORP. TO SETTLE ATLANTIC CITY LITIGATION

CHICAGO, March 31 /PRNewswire/ -- United States Cellular Corp. (AMEX: USM) announced that it has entered into an agreement to settle certain civil litigation matters with Comcast Corp. (Comcast) and Ellis Thompson relating to the Atlantic City, N.J., nonwireline cellular system. The dispute involved competing claims by USM and Comcast to acquire from Ellis Thompson a majority interest in the Atlantic City nonwireline cellular system. The settlement agreement provides for USM, USM's parent company Telephone and Data Systems, Inc., Comcast and Ellis Thompson to terminate all civil litigation relating to the Atlantic City cellular system, and USM to sell its interest in the Atlantic City cellular system to Comcast. The closing of the settlement agreement is conditioned upon the favorable resolution of a pending Federal Communications Commission (FCC) proceeding and also upon Comcast's acquisition of the Atlantic City cellular system which is subject to FCC approval.

Pursuant to a separate agreement, USM will also sell its majority interest in the Vineland, N.J., nonwireline cellular system to Comcast, suject to FCC approval. The Vineland cellular system is adjacent to the Atlantic City cellular system.

Headquartered in Chicago, USM manages and invests in cellular systems throughout the United States. As of Dec. 31, 1994, USM owned or had rights to acquire interests representing 25.2 million population equivalents in 207 markets. At that date, USM managed systems serving 143 markets.
