UNITED DISTILLERS AND HEAVEN HILL DISTILLERIES REACH AGREEMENT

 STAMFORD, Conn., Jan. 29 /PRNewswire/ -- Michael J. Rizzo, president and chief executive officer, United Distillers Glenmore and Max L. Shapira, executive vice president, Heaven Hill Distilleries, Inc., are pleased to jointly announce the sale and acquisition of a number of domestic spirits brands previously produced and marketed by United Distillers Glenmore.
 Guinness America, Inc., the parent of United Distillers Glenmore, and Heaven Hill Distilleries, Inc., America's largest independent, family owned distilled spirits company, have signed a contract for the sale to Heaven Hill of a package of United Distillers Glenmore brands. Included within the transaction are some 70 national and regional spirits brands within the following categories; Bourbon (J.W. Dant, Ezra Brooks, Yellowstone, Cabin Still), Blended Whiskey (Philadelphia, Guckenheimer, Kentucky Beau), Gin (Boord's, Country Gentlemen), Vodka (Boord's, Cavalier), Domestic Brandy (Coronet, J. Bavet), Cordials (Dubouchett, Amarito Amaretto, Southern Host), Canadian Whiskey (Grande Canadian, Canadian Springs) and Wine (Dubonnet).
 Michael Rizzo explained "we are delighted to have reached this agreement with Heaven Hill. The sale is an important part of our strategy to rationalize our business in North America following our acquisition of Glenmore Distilleries in 1991, and the subsequent merging of the business with Schenley Industries to form United Distillers Glenmore in 1992. This transaction enables us to rationalize our portfolio and concentrate on core brands within our strategic categories."
 Max L. Shapira stated that "this acquisition further expands Heaven Hill's portfolio, reflects our strategic direction of becoming an increasingly larger force in the American and worldwide distilled spirits market and is part of our on-going operating strategy in place the last several years involving the acquisition of domestic and imported products. These brands fit perfectly into our niche marketing philosophy and expands our sales efforts into categories and regions where we were not previously represented."
