UNION CARBIDE TO SELL WORLDWIDE ORGANOSILICON BUSINESS

UNION CARBIDE TO SELL WORLDWIDE ORGANOSILICON BUSINESS
DANBURY, Conn., Jan. 23 /PRNewswire/ -- Union Carbide Corporation (UCC) (NYSE: UK) today announced its intention to sell the worldwide OrganoSilicon Products, Systems and Services (OSi) group of businesses that report to its Specialty Chemicals Division. UCC said that it expects to conduct business reviews with potential buyers in the next few months and to complete the transaction in 1992.
Union Carbide Chairman Robert D. Kennedy said the decision to sell the OSi business "is part of the company's previously announced plans to raise about $500 million for reduction of debt."
The OSi Group consists of the organofunctional silanes, silicone fluids and urethane additives (primarily silicone surfactants and amine catalysts) businesses. They manufacture fluids and chemicals used in fiberglass, reinforced plastics, textiles, coatings, automotive, adhesives, pharmaceutical, agricultural, electrical, personal care, thermoplastics, sealants and other specialty markets. In the reinforced plastics field, for example, OSi's silanes are used as coupling agents and adhesion promoters to provide increased strength and durability in items such as fiberglass boats and roofing shingles.
OSi has major manufacturing facilities in Sistersville, W.Va.; Antwerp, Belgium; Itatiba, Brazil; and Termoli, Italy. Research and development facilities are located in South Charleston, W.Va.; Tarrytown, N.Y.; and Geneva, Switzerland. A joint venture -- Nippon Unicar -- operates in Kawasaki, Japan. OSi has sales offices worldwide and employs about 1,000 people. Its sales in 1991 were $300 million.
