 DISTRIBUTORSHIP AGREEMENT
 HAUPPAUGE, N.Y., June 3 /PRNewswire/ -- Amerchol Corporation of Edison, N.J., a wholly owned subsidiary of Union Carbide Chemicals and Plastics Company Inc. and United-Guardian Inc. (AMEX: UG), of Hauppauge, today announced the signing of an exclusive distributorship agreement. The subject agreement covers the exclusive marketing by Amerchol corporation of United-Guardian's line of water-based moisturizing and lubricating gels under the trade name "Lubrajel" into the markets of Mexico, Central America, South America and the Caribbean Islands.
 Amerchol Corporation is a specialty chemical company dedicated to the personal care industry. Sine 1939, Amerchol has pioneered new specialty chemicals for the industry with focused research and development and strong technical services support globally. Amerchol will utilize its extensive technical, sales and marketing infrastructure to create new personal care market opportunities for the "Lubrajel" products in the emerging regions of Mexico, Central America, South America, and the Caribbean island.
 United-Guardian, Inc, is a manufacturer of pharmaceuticals, health care products, medical devices, and cosmetic bases, with extensive experience in the development of unique cosmetic and industrial products.
