UAL CORP. MAKES STATEMENT ON LAWSUIT
UAL CORP. MAKES STATEMENT ON LAWSUIT CHICAGO, Nov. 19 /PRNewswire/ -- UAL Corp. stated that AMR Corp. and
American Airlines have filed a lawsuit against UAL Corp., United Airlines, Air Wis Services, Inc. and Air Wisconsin in the United States District Court for the Southern District of New York alleging that United's proposed acquisition of Air Wisconsin violates federal antitrust and securities laws. United believes that this lawsuit is the result of American's complete failure after almost six weeks of discussions with Air Wisconsin to present an alternative transaction which would be beneficial to Air Wisconsin, its shareholders and employees and which could secure the requisite regulatory approvals. United firmly believes that there is no basis in law or fact for the American lawsuit, and United is confident that it will prevail on the merits. On Oct. 27, the waiting period under the Hart-Scott-Rodino Act expired, and there is no further government antitrust clearance necessary for proceeding with the UAL-Air Wis merger. The Air Wis board of directors has rescheduled to Dec. 30 its shareholders meeting to consider the merger transaction with UAL.
