U.S. LONG DISTANCE CORP. ANNOUNCES PROMOTION AND REPORTS RESULTS OF ANNUAL MEETING

 SAN ANTONIO, Texas, March 9 /PRNewswire/ -- U.S. Long Distance Corp. (NASDAQ/NMS: USLD), at its annual meeting of stockholders, today announced it had appointed Larry M. James, 45, to the position of president.
 James has served as chief operating officer and director of the company, and president of its two wholly owned subsidiaries, U.S. Long Distance, Inc. and Zero Plus Dialing, Inc., since February 1991. He joined the company as vice president of sales and marketing in April 1988. Prior to joining U.S. Long Distance, James was employed by Americorp Enterprises, Inc., ultimately serving as president of its electronic division, which sold countertop electronic games, computers and telephone systems.
 In his remarks to stockholders, Parris H. Holmes Jr., chairman and chief executive officer, noted, "Larry has done an outstanding job for the company in those leadership roles. I cannot overemphasize Larry's contribution to the success of U.S. Long Distance."
 In other matters of business, the stockholders re-elected two members to its board of directors. Re-elected to serve a term expiring in 1996 were Charles E. Amato, 45, chairman of Southwest Business Corporation and Gary D. Becker, 33, a senior officer at Pace Concerts. The company's stockholders also voted to amend the company's Certificate of Incorporation to eliminate the personal monetary liability of directors in certain circumstances and to ratify the appointment of Arthur Andersen & Co. as independent auditors.
 Holmes also commented on the company's recent stock performance. "There has been no fundamental change in the company's operating performance to warrant the recent weakness in our stock. We anticipate more than doubling income from operations from the record level achieved in 1992 of $.21 per share. As with prior years, over 75 percent of these earnings will come in our June and September quarters, with the current quarter anticipated to yield approximately the same as the first quarter, ended Dec. 31, 1992. We are buoyed in our confidence regarding the third and fourth quarters, due to the customer additions announced over the last 90 days," stated Holmes.
 USLD is an integrated long-distance telecommunications and information management services company with three primary areas of business: regional direct-dial long distance services in Texas and three surrounding states; billing clearing house and information management services for operator services and direct-dial long-distance companies; and national operator services for the hospitality and pay telephone industries.
