 U.S. ENVIRONMENTAL DETAILS TRANSACTION, PERSONNEL CHANGES
 KING OF PRUSSIA, Pa., Sept. 24 /PRNewswire/ -- U.S. Environmental, Inc. (OTC Bulletin Board: USEV) announced today that on Sept. 22, 1992, Geotech Development Corporation acquired 750,000 restricted shares of U.S. Environmental stock for an infusion by Geotech of $125,000 capital into U.S. Environmental, Inc. pursuant to an assignment of rights flowing out of an agreement dated Dec. 9, 1991, between Noel Drago Associates and U.S. Environmental, Inc., as modified by an amendment to such agreement dated as of Sept. 22, 1992.
 As a further part of such transaction, a complete change in management and control of the company was effected by the appointment of Thomas B. West as a director and the resignation of all existing and former officers and directors of the company.
 Furthermore, the company issued 3 million shares of its restricted common stock to certain former officers and directors and former consultants in consideration of the termination of various consulting agreements between the company and such persons.
 West has appointed a new management team comprised of Thomas R. Tate, president; Thomas W. West, vice president, Engineering; P.A. Dietrich, secretary and treasurer. West in his capacity as sole director and chairman of the board of the company is in the process of forming a new board of directors to replace the three remaining vacancies created by the resignation of the former board of directors.
 West said he intends to fill at least two directorships with individuals who will be independent directors, and preferably will have a strong professional background in skills beneficial to the company.
