The CAPS Group acquires NEC, Inc. and NK Graphics from Group360 Visual Communications.

Acquisition expands The CAPS Group's magazine publishing and educational book publishing segments

CHICAGO -- The CAPS Group, a premier visual communications company serving advertising agencies, design firms and publishers, has acquired NEC, Inc. and NK Graphics from Group360 Visual Communications. The acquisition, which closed yesterday, Oct. 17, expands The CAPS Group's growing business in magazine and educational book publishing.

"This acquisition is an excellent strategic fit for us," said John Reilly, chairman, The CAPS Group. "With it, we are adding to our clientele some large, well-known companies, including Hearst Corporation, National Geographic, Pearson and Southern Progress Corporation, which will help establish The CAPS Group as a leader in the magazine and book publishing segments."

The combined annual revenue of the acquired operations is around $15 million, bringing The CAPS Group's total annual revenue to approximately $90 million. The company's total number of employees nationwide will exceed 640.

Nashville, Tenn.-based NEC is a leader in the consumer magazine publishing market and has facilities in Birmingham, Ala.; Des Moines, Iowa; and New York City. NK Graphics, headquartered in West Chesterfield, N.H., provides graphic composition services primarily to book publishers. Both companies were acquired in 2003 by Group360, St. Louis, a supplier of design, prepress and graphic arts services to the packaging, publishing, catalog and corporate advertising sectors.

NEC will become part of and change its name to HudsonYards, The CAPS Group's New York-based operation that provides creative retouching, digital imaging, content management and workflow management solutions for advertising agencies and publishers and entertainment and luxury goods clients.

NK Graphics will become part of Black Dot Group. Headquartered in Crystal Lake., Ill., this CAPS Group member firm provides creative, design, editorial production, content development, page composition, photography, electronic color imaging, color retouching, and asset management to clients in the catalog, direct mail, educational and trade book publishing, publications/directories and retail markets.

This marks the second major acquisition The CAPS Group has made this year. In March the company acquired the educational product development, catalog, publication and New York-based advertising pre-media operations of Schawk, Inc. (NYSE:SGK), a digital imaging graphics services provider based in Des Plaines, Ill.
