TSI ANNOUNCES ACQUISITION, FORECASTS THIRD QUARTER

 SHOREVIEW, Minn., Jan. 12 /PRNewswire/ -- TSI Incorporated (NASDAQ-NMS: TSII), Shoreview, today announced that it has entered into an agreement to acquire Transducer Research, Inc. of Naperville, Ill., effective as of Jan. 4, 1993. Terms were not disclosed.
 According to Dr. Leroy Fingerson, TSI's chief executive officer, "TSI expects the major part of its growth to come from environmental monitoring and control markets. This acquisition is ideal strategically because it broadens our environmental capabilities. Transducer Research has a very strong technical staff, which should help us increase our participation in key environmental ares, such as industrial hygiene."
 With Transducer Research sensors, gas analysis instrumentation and related technology, TSI plans to expand its product lines to include detection of gases that are important in measuring indoor air quality and various toxic or polluting gases in external environments. For the past nine years Transducer Research has provided gas detection research and development for a variety of governmental and industrial entities. More recently, Transducer Research has designed and marketed proprietary gas detection sensors and instruments for several applications. Revenues in calendar 1992 were $1.3 million. TSI plans to continue operating Transducer Research in Illinois as a wholly owned subsidiary. Current management and staff will remain.
 Regarding TSI's fiscal third quarter, ended Dec. 31, Fingerson stated: "As we indicated in our second quarter report, sales bookings during the summer months were below expectations. Although bookings increased during the third quarter from the summer levels, shipments for the fiscal 1993 third quarter were about $9.3 million compared with $10.8 million a year ago. With this sales decrease, TSI expects to be profitable, but earnings will be substantially below the 15 cents per share reported in the year-earlier period." TSI will release final third quarter results later this month.
 Fingerson concluded, "TSI's fourth quarter ending March 31, is typically the year's strongest, and that pattern is expected to hold true for fiscal 1993. Order activity has remained healthy, particularly in North America. International sales are running behind last year, mostly due to lingering economic weakness in our major export markets. Longer-term, we are excited about the growth opportunities in the precision instrumentation area, especially in environmental monitoring and control applications."
