 TRANSCANADA TO ISSUE US $200 MILLION DEBENTURES
 CALGARY, Alberta, May 13 /PRNewswire/ -- TransCanada PipeLines Ltd.


(Toronto, Montreal, Vancouver, Calgary: TRP) announced today that it has concluded an underwriting agreement for the issuance of US $200 million of 20-year debentures at 8.625 percent per annum to mature May 15, 2012. The issue of debentures is priced at 99.435 for delivery on or about May 19, 1992.
 Proceeds from the issue will be used to finance a portion of the company's utility construction programs.
 The underwriting group consists of Morgan Stanley & Co. Inc., Goldman, Sachs & Co., The First Boston Corp., and Salamon Brothers Inc.
