TRACOR SUBSIDIARY ACQUIRES ADR ASSOCIATES, INC.

SAN DIEGO--(BUSINESS WIRE)--Nov. 25, 1996--GDE Systems, Inc., a San Diego-based subsidiary of Tracor, Inc. (NASDAQ:TTRR), today announced it has completed the acquisition of privately held ADR Associates, Inc., of Pennsauken, N.J.

ADR Associates, which reported 1995 revenues of $10.3 million, has a 26-year history of using photogrammetric technology to provide digital mapping and geographic information systems (GIS) database services primarily for federal, county, and municipal governments throughout the United States.

"ADR has the nation's largest photogrammetric compilation capacity in private industry which will greatly complement our efforts in providing high-quality digital mapping products to a variety of commercial and government customers," said Dr. Terry A. Straeter, president of GDE Systems.

GDE Systems will retain the current ADR management team and employees, led by David K. Nale, who will continue to serve as president of ADR Associates.

GDE Systems employs more than 1,600 skilled professionals and specializes in applying digital technology to design, develop, manufacture, and support quality electronic systems for tactical and strategic operations, and photo image processing products for

phisticated commercial and military applications.
