THE RANDERS GROUP INCORPORATED SIGNS LETTER OF INTENT TO ACQUIRE THE NET ASSETS OF EPC INTERNATIONAL, INC.

 MUSKEGON, Mich., Nov. 2 /PRNewswire/ -- The Randers Group Incorporated (AMEX-ECM: RGI) announced that it has entered into a Letter of Intent to acquire the net assets and business of EPC International, Inc. (EPC). The Letter of Intent is subject to EPC shareholder approval and the negotiation and execution of a final purchase agreement.
 EPC is a privately held, 40 person engineering/construction management firm located in Mt. Prospect, Ill. EPC provides engineering, procurement, and construction management services primarily to petroleum, refining, petrochemical, chemical, and pharmaceutical clients in Illinois and the surrounding areas.
 Upon joining the Randers Group of Companies, EPC will provide a strong Chicago-based operation from which Randers Group can market its design/build services and engineered equipment systems to its national and international client base.
 Management of EPC has scheduled a shareholders' meeting for Nov. 18, 1993, to seek approval of the proposed transaction. Management of both companies intend to promptly pursue the execution of a final purchase agreement if the shareholders of EPC approve the sale.
