 RELATING TO $100 MILLION SENIOR NOTE OFFERING
 JOHNSTOWN, Pa., Jan. 24 /PRNewswire/ -- The Penn Traffic Company (AMEX: PNF) ("Penn Traffic") announced today that it has filed a registration statement with the Securities and Exchange Commission relating to a proposed public offering of $100 million senior notes due 2002 ("notes").
 The proceeds of the offering will be used to repay certain existing indebtedness of Penn Traffic and for general corporate purposes. The offering will be underwritten by Goldman, Sachs & Co. and by Salomon Brothers Inc.
 A registration statement relating to the notes has been filed with the Securities and Exchange Commission but has not yet become effective. The notes may not be sold nor may offers to buy be accepted prior to the time the registration statement become effective. This press release shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of the notes in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
 Penn Traffic is one of the leading food retailers in the eastern United States, operating 188 supermarkets in upstate New York, western Pennsylvania, central Ohio and northern West Virginia, under the names of P&C Foods, Quality Markets, Riverside Markets, Bi-Lo Foods, Big Bear and Big Bear Plus. Additionally, Penn Traffic operates wholesale food distribution businesses serving 125 licensed franchises and 120 independent operators and a discount general merchandise business with 20 stores. Grand Union, in which Penn Traffic holds a 24 percent equity interest, operates 306 supermarkets and food stores under the Grand Union and Big Star trade names in the eastern United States.
 Penn Traffic trades on the American Stock Exchange under the symbol PNF.
