THE FUTURE NOW ANNOUNCES ACQUISITION OF BASICOMPUTER CORPORATION

CINCINNATI, July 28 /PRNewswire/ -- The Future Now, Inc. (NASDAQ: FNOW), the Cincinnati-based computer sales and services company that focuses on total solutions for its clients, announced today that it has signed a definitive agreement with Basicomputer Corporation of Akron, under which a subsidiary of Future Now and Basicomputer will merge. Future Now, publicly traded on the NASDAQ exchange (symbol FNOW), is currently the nation's fifth largest computer reseller in terms of corporate sales, according to Computer Reseller News.
"The significance of this transaction lies in the market fit of the two companies," said Future Now Chairman and CEO Terry Theye. "Six of Basicomputer's seven major markets coincide with Future Now locations. Our game plan is to strengthen leadership through strategic acquisitions and aggressive market penetration. This transaction is a major advance for us and, in turn, our customers."
Basicomputer Corporation, with revenues of $140 million for the fiscal year ending January 1993, integrates microcomputer products, systems and services for sale to multi-system corporate, educational and governmental accounts throughout Ohio; New York; Pittsburgh; Detroit; Dallas; Houston; Atlanta; Raleigh, N.C.; and Kansas City.
"This transaction benefits Future Now in several ways," Theye said. "Basicomputer's corporate functions and field operations will be consolidated with those of Future Now, with duplicate space and jobs eliminated for considerable cost savings. Future Now's position with vendors will be improved, resulting in more leverage in obtaining product, discounts and marketing development funds.
"Basicomputer has in place a strong customer support program which complements the sophisticated support services provided by Future Now, and service is the high-margin glue that holds customers," Theye said.
This announcement comes just three weeks after Future Now signed a letter of intent to acquire Premium Connecting Point, a Southern California computer reseller with 1992 revenues of $22 million. Both transactions were facilitated by a recent public offering of Future Now shares.
The transaction is subject to approval by the shareholders of Basicomputer Corporation and certain regulatory agencies, and additional conditions must be satisfied prior to closing. Terms of the transaction were not disclosed.
The Future Now, Inc. sells, configures, installs and services microcomputers, UNIX workstations, turn-key local and wide area networks, computer software and peripheral products for business, professional, educational and governmental customers. The company also offers a wide range of customer support and consulting services through its 27 sales offices in 17 states.
