THE FAILURE GROUP ANNOUNCES ORGANIZATIONAL CHANGES

MENLO PARK, Calif., Feb. 25 /PRNewswire/ -- Roger McCarthy, chief executive officer of The Failure Group Inc. (NASDAQ: FAIL) today announced executive changes designed to enable Dr. McCarthy to devote his principal focus as chief executive officer to the professional and marketing sides of the business. "At my initiative, the board of directors at today's meeting elected Edward Keith as non-executive chairman of the board and Michael Gaulke as president."
Keith has been an outside director of the company since 1987. He was a co-founder of the Pacific Bank, San Francisco, and was a co-founder and a past director of Impell Corp., an engineering services company. Since January 1990, Keith has been a director of Inlex Inc., a company which provides computer hardware, software and services in connection with automation of public and private library systems.
Keith said, "I am pleased to serve the company in my new capacity. The concept of non-executive chairman is gaining increasing acceptance in corporate America, but it is especially appropriate in the case of a professional service organization in which the senior personnel must devote the vast bulk of their time to building the franchise among clients and developing younger talent."
Gaulke joined the company last fall as executive vice president and chief financial officer, and he will continue to function in this latter capacity. Before joining the company, Gaulke was executive vice president and chief financial officer at Raynet Corp. from 1988 to 1992. Prior to that, he held the same capacity at Spectra-Physics Inc., where he was employed form 1979 to 1988. From 1972 to 1979, Gaulke was a management consultant with McKinsey & Co.
In commenting on the changes, Gaulke said, "In the short time I have been with the company, I have been particularly impressed by the high quality of its professional talent. Today's organizational changes are part of a larger effort to allocate our executive resources in a manner that best taps our individual talents and responds to client needs. I am confident that this effort, combined with our cost reduction program which was initiated last year and is now well in place, will rebound to the benefit of our clients, stockholders and employees in the years to come."
The Failure Group Inc., through its principal operating subsidiary, Failure Analysis Associates Inc., is the leading independent consulting firm devoted primarily to the investigation, analysis and prevention of failures of an engineering or scientific nature. Failure Analysis Associates was founded in 1967 and operates nine domestic and five international offices. The company's headquarters facility is located in Menlo Park.
