THE COOPER COMPANIES ANNOUNCE CHANGE IN BOARD OF DIRECTORS

 NEW YORK, Dec. 22 /PRNewswire/ -- The Cooper Companies, Inc. (NYSE: COO) announced today that Frederick R. Adler has resigned from the company's board of directors and has designated Michael R. Golding, M.D., as his replacement. The designation was made pursuant to the settlement agreement, dated June 15, 1992, entered into by the company and Mr. Adler in settlement of Mr. Adler's proposed solicitation of proxies for the election of his own slate of nominees for election as directors at the company's 1992 annual meeting of stockholders, in opposition to the board's nominees. The nomination of Dr. Golding as a director to replace Mr. Adler will be presented to the board of directors at its next meeting in accordance with the company's obligation under the settlement agreement to use its best efforts, in accordance with Delaware law, to cause him to be elected as Mr. Adler's replacement.
 Dr. Golding is a fellow of the American College of Surgeons. He has served as a clinical professor of surgery at the State University of New York Health Science Center at Brooklyn since 1983 and recently retired from the position of director of surgery at the Lutheran Medical Center in Brooklyn, a position he had held since 1977. Dr. Golding is certified by the American Board of Surgery and the American Board of Thoracic Surgery. He is the recipient of the Dr. Frank L. Babbott Honorary Alumnus Memorial Award from the State University of New York Health Science Center College of Medicine. Dr. Golding serves on the New York State Board for Professional Medical Conduct and as a consultant to various medical institutions. Dr. Golding also serves as a special assistant to the president of the Interfaith Medical Center and is a member of the board of directors of the united Hospital Fund.
