TENTATIVE SETTLEMENT APPEARS NEAR IN CLASS ACTION CASE

 SALT LAKE CITY, Nov. 22 /PRNewswire/ -- American Stores Co. (NYSE: ASC) announced today significant progress toward resolving the class action discrimination lawsuit filed in 1988 against the Northern California Division of Lucky Stores Inc., a wholly owned subsidiary of American Stores Co. Discussions are in progress that the parties to the suit are confident will lead to a settlement agreement.
 U.S. District Court Judge Marilyn Hall Patel has been advised of the discussions and has put all matters related to the suit on hold pending submission of a settlement agreement, which is expected in the next two weeks.
 The financial settlement under discussion is within the financial reserves already taken by the company and insurance coverages. Consequently, the amount of the settlement under discussion will not have an impact on current or future financial results. Formal approval of the settlement still must come from Judge Patel and members of the class. A hearing on this matter before Judge Patel will take place on Jan. 14, 1994.
 In anticipation of a final settlement, Roger Wilhelm, executive vice president and general manager of the Northern California Division of Lucky Stores Inc., said, "We feel that this matter will be resolved to the satisfaction of all parties. Resolving this case is a high priority to us."
 The Northern California Division of Lucky Stores operates 188 stores and is headquartered in San Leandro, Calif.
