TELXON COMPLETES ACQUISITION OF ITRONIX, STRENGTHENS MOBILE WORKFORCE OFFERINGS

AKRON, Ohio, April 14 /PRNewswire/ -- Telxon Corporation (NASDAQ/NMS: TLXN), the world leader in portable microcomputer and wireless data communications systems, today announced it has completed its acquisition of Itronix, Inc., a major developer and marketer of hand-held systems for mobile workforce applications. The acquisition merges two complementary product lines, adding the Itronix "ruggedized" hand-held units to Telxon's full line of portable systems.
The acquisition is part of Telxon's new strategic plan that calls for the creation of a number of independent business units (IBUs) for niche markets. Focusing on specific vertical markets enables Telxon to be more responsive to customer product and service needs in those markets.
Itronix, based in Spokane, Wash., has been successful in developing and marketing ruggedized hand-held computers, software and integrated test instruments for field service work forces. Initially the company's products were designed for telephone company field technicians. With its new integrated radio communications capability, Itronix has begun deploying systems to a wider number of commercial field service workforces. Ruggedized products are necessary for mobile workforce users, since many of these systems are subject to impact damage and extremes of weather.
Until June 1992, Itronix was a unit of Itron, Inc., a manufacturer of
equipment for the utility industry. At that time Itronix was spun off as an independent, separately capitalized company focusing on the field service market. Telxon's acquistion of Itronix was completed April 12 when Telxon acquired all the outstanding shares of the former privately held Itronix for approximately $4 million cash.
"Telxon's emphasis on providing the best-integrated systems and industry-specific applications for a range of vertical markets makes Itronix a valuable asset, " said Dan R. Wipff, president and chief operating officer of Telxon. "Integrating the Itronix product line with Telxon's existing systems will allow us to secure an increasing share of the growing field service terminal market."
As companies compete for customers, the ability to provide prompt and reliable field service has taken on added importance. In 1992 Telxon introduced a field service "starter kit" providing hand-held terminal users with links to the wide-area cellular ARDIS network for real-time communications from a range of locations around North America. The combination of ruggedized Itronix terminals with Telxon's expertise in wireless communications provides the company's customers with additional wide-area and local-area network capabilities across a broad market.
Telxon Corporation, serving over 6,000 customers around the world, is the leading provider of complete hand-held data collection systems and wireless data communications products. The company integrates advanced Portable Tele-transaction Computers (PTCs) with real-time communication technology, bar code scanning and application software-- combined with the highest levels of service and support--to offer customers in retailing, warehousing, manufacturing, distribution, logistics and a variety of industries complete data collection solutions. Telxon's executive and engineering offices are located in Akron, Ohio; its manufacturing facility is in Houston.
