 GROCERY INDUSTRY
 AKRON, Ohio, May 4 /PRNewswire/ -- Telxon Corporation (NASDAQ/NMS: TLXN), the worldwide leader in hand-held microcomputer technology, today announced the acquisition of Retail Management Systems Corporation (RMS), one of the largest suppliers of store-level software solutions in the United States. Terms of the agreement were not disclosed.
 Based in Des Moines, Iowa, RMS specializes in designing software that integrates product pricing information with various store-level functions such as direct-store-delivery (DSD) receiving and DEX/UCS data exchange.
 RMS software products enable retail grocers to connect a variety of hardware into an interactive network for better management of store functions. Using industry-standard computer technology, RMS software solutions maximize the benefits of complete pricing control within one database.

"Telxon is the leading supplier of hand-held system solutions to the retail industry and serves 22 of the top 25 grocery chains in the U.S. As DEX/UCS becomes increasingly important to retail, the acquisition of a leader in retail software for the grocery industry will enable us to give our grocery customers more complete solutions."
 Founded in 1984, RMS was the first software company in the industry to successfully implement a DEX/UCS standard into store management software. DEX/UCS, short for Direct Exchange/Uniform Communication Standard, allows for electronic exchange of invoice information between a DSD vendor and a store-level receiver. In addition, RMS was the first to introduce on-line DSD receiving using radio frequency (RF) technology, which allows store personnel to check in product while viewing current pricing information.
 RMS, whose headquarters will remain in Des Moines, will be an operating division of Telxon, while maintaining its independent identity.
 Telxon PTCs gather, process and store on-site, real-time data which is communicated to a host computer. These systems incorporate the company's proprietary operating and applications software, associated peripheral equipment and communications devices.
 Telxon executive and engineering offices are located in Akron, Ohio, and its manufacturing facility is in Houston. More than 6,000 Telxon customers are served by over 50 sales and service offices worldwide.
