TELULAR PURCHASES ADCOR ELECTRONICS; MOVES LEADING SECURITY ALARM COMPANY INTO WIRELESS FUTURE

NEW YORK, Aug. 31 /PRNewswire/ -- Telular Corporation, the worldwide leader of fixed cellular telecommunications, has reached an agreement to purchase Atlanta-based Adcor Electronics, the foremost cellular alarm signaling company in the U.S. Once combined, the newly created company will bring unprecedented wireless communications capabilities to the security industry.
The announcement was made in New York at the annual International Security Conference. The two companies expect to execute the agreement within 30 days, at which time the company will operate under the name Telular-Adcor.
During the conference, company officials stressed that the merger will not affect the leadership, day-to-day operations or tradition of quality products and services that have enabled Adcor to maintain its dominance of the U.S. wireless alarm monitoring business.
"This agreement represents a logical step in a very positive relationship we've had with Adcor for more than four years, and a tremendous opportunity for Telular to increase its presence within the rapidly expanding security industry," said Jim Phillips, vice chairman of Telular Corp. "Through the combination of our resources, Telular- Adcor will literally help to reshape the industry by consistently delivering the most advanced wireless communications technology available to this rapidly expanding market," he said.
Fifteen-year-old Adcor Electronics has been a distributor and licensed manufacturer of Telular's fixed cellular product line under the TELGUARD name. TELGUARD enables commercial and residential alarm systems to automatically transmit signals to off-site monitoring centers over the cellular airwaves, in the event that standard phone lines are cut. The company's TELGUARD units are currently being used by six of the country's 10 largest banks and more than 30 percent of the country's largest retail stores.
"There are more than 16 million monitored alarm systems operating the U.S. today and up to 900,000 new systems being installed each year," Phillips said. "We expect that a substantial percentage of those new systems will be equipped with Telular-Adcor's fixed cellular units, and that many existing systems will soon make the change to tamper proof, wireless technology."
Founded in 1986, Telular has developed and patented telecommunications interface technology that greatly expands upon the traditional applications of cellular voice and data communications. Telular technology instantly converts any phone system, fax or computer to available cellular service. Telular products provide primary wireless service when traditional telephone service is more expensive, or is too costly to install or maintain, unavailable on a timely basis, or of poor quality. And Telular offers one of the fastest growing, most flexible technologies for data monitoring telemetry. Telular products also provide efficient back-up communications when regular service is interrupted. Telular is the world's largest provider of fixed cellular voice and data communications and the worldwide standard for this rapidly expanding industry. Telular is the one true bridge between wire and wireless.
The line of fixed cellular products developed and marketed by Telular include the compact PhoneCell(TM) 1, PhoneCell(TM) 4, PhoneCell(TM) 24, and modular PhoneCell CPX(TM); and the new Telular PCS One(TM), an advanced new telecommunications system that enables end users to place and receive calls from multiple locations through a single telephone number. Other Telular products include the TelGuard(TM) wireless security and fire alarm system, the T-Fax(TM) mobile facsimile and Telular's line of wireless cellular pay phones for off-shore and marine use, mass transit and literally anywhere land lines can't go.
