TELLABS ACQUIRES MARTIS OY OF FINLAND; INTERNATIONAL EXPANSION TO MEET WORLDWIDE CUSTOMER DEMANDS WITH WIRELESS CELLULAR, PCN SYSTEM TECHNOLOGY

LISLE, Ill., Oct. 7 /PRNewswire/ -- Telecommunications equipment manufacturer Tellabs, Inc., announced today that it has acquired Martis Oy, a privately held networking equipment provider based in Helsinki, Finland. Under the terms of the agreement, Tellabs acquired 100 percent of the outstanding share capital of Martis for approximately US$70 million.
Formed in 1976, Martis designs and manufactures ETSI-standard digital networking products used by telecommunications service providers to satisfy the needs of cellular and business customers. Martis products are used in advanced data, voice and cellular applications throughout Scandinavia and Europe. Sales for the company's fiscal year ended May 31, 1993, approximated US$40 million.
"A major future growth area for our industry is in global digital networks. This new partnership is a major part of Tellabs' strategy for addressing that market. It significantly enhances our portfolio of networking products, and, equally importantly, it establishes the platform upon which our future networking products will be based," said Tellabs President Michael J. Birck. "Combining the advanced Martis DXX flexible multiplexer and Tellabs' digital cross-connect products with our global distribution and support resources allows us to deliver state-of-the-art network solutions to serve providers around the world."
The Martis flexible access multiplexer is an intelligent transport and network access vehicle ideally suited for use in wireless cellular and emerging personal communication network (PCN) applications as well as in conventional digital networks. The Martis system combines multiplexing with non-blocking cross-connect switching in a single unit optimized for international (E1) application. The Martis product line also includes baseband/fiber optic network-terminating units and advanced network management systems.
With the addition of Martis, Tellabs has established a major European business center. "The Martis facility in Helsinki, together with our Tellabs Ltd facility in Shannon, Ireland, will form `centers of excellence' for ETSI transport and access systems that include flexible multiplexers, digital cross-connect systems, network management and synchronous Digital Hierarchy products," said Peter A. Guglielmi, president of Tellabs International, Inc., the Tellabs subsidiary charged with responsibility for operations outside the United States. "Our focus will be to enhance the capabilities of the Martis multiplexer and network management products and to increase sales of these products through our established worldwide distribution channels.
"Like Tellabs, Martis is financially strong," Guglielmi continued. "We anticipate that leveraging the strengths of the two companies will positively impact both our short- and long-term earnings potential."
The acquisition follows Tellabs' realignment earlier this year into separate subsidiaries focused on the U.S. and international markets.
Tellabs designs, manufacture, markets and services voice and data equipment. The company's products are used internationally by telephone companies, interexchange carriers, governments and businesses. Tellabs stock is traded in the United States over-the-counter (NASDAQ) under the symbol TLAB.
