TCF COMPLETES ACQUISITION OF REPUBLIC CAPITAL FOLLOWING SHAREHOLDER APPROVAL

 MINNEAPOLIS, April 21 /PRNewswire/ -- TCF Financial Corporation (NYSE: TCB) (TCF) announced that its acquisition of Republic Capital Group, Inc. (NASDAQ: RSLA) (RCG), Milwaukee, was completed today after the shareholders of both companies approved the merger.
 Under terms of the merger agreement, TCF will exchange 1.217 shares of TCF common stock for each common share of RCG. Approximately 2.2 million TCF shares will be issued.
 "Acquiring RCG significantly expands our community banking franchise in the Upper Midwest," said William A. Cooper, TCF chairman and chief executive officer. "Our 30 new locations will complement our growing network in Illinois and extend our reach throughout eastern Wisconsin. We look forward to providing our new customers with convenient access to a broader array of banking products and services."
 Cooper said that TCF will operate in Illinois as TCF Bank Illinois fsb, and in Wisconsin as TCF Bank Wisconsin fsb. Both will be savings bank subsidiaries of TCF Bank Savings fsb (TCF Bank). He also indicated that TCF is proceeding with the consolidation of operations and conversion of customers' accounts to TCF's systems, which should be completed later this year.
 TCF and RCG signed a definitive agreement on Dec. 7, 1992, for TCF to acquire RCG in a tax-free stock-for-stock exchange. TCF received regulatory approval from the Office of Thrift Supervision on April 20. The transaction will be accounted for as a pooling of interests.
 RCG is the holding company for Republic Capital Bank, F.S.B., with 24 eastern Wisconsin offices; and Peerless Federal Savings Bank, with six Chicago-area offices. At Dec. 31, 1992, RCG had $960 million in assets.
 With the acquisition, TCF has $5 billion in assets and 114 banking locations -- 61 in Minnesota, 27 in Illinois, 25 in Wisconsin and one in Iowa. TCF Bank and its affiliates provide banking, insurance and other financial services. Deposits at TCF Bank are insured to $100,000 by the Federal Deposit Insurance Corporation.
