SYSTEMS & COMPUTER TECHNOLOGY CORP. ANNOUNCES
 ACQUISITION OF INFORMATION ASSOCIATES
MALVERN, Pa., June 12 /PRNewswire/ -- Systems & Computer Technology Corporation (SCT) (NASDAQ: SCTC) announced that, effective today, it has acquired Information Associates (IA) of Rochester, N.Y.
SCT has previously announced on May 4 of this year that it had entered into a definitive agreement to purchase IA from Dun & Bradstreet Software (D&B Software) for $22.5 million. The transaction was financed with $7.5 million of internal funds and $15 million of bank financing, under a $20 million revolving credit agreement.
SCT said it expects that a portion of the purchase price will be accounted for as purchased research and development. The amount of such purchased research and development will be a charge against earnings for the third quarter which ends June 30.
IA, a leading supplier of administrative software to the higher education market since 1968, had 1991 revenues of approximately $30 million, with maintenance revenues of more than $12 million. IA has an installed base of more than 500 colleges and universities with 430 clients on maintenance agreements. It serves both the Digital Equipment Corp. and IBM markets with a full range of administrative software systems, including Student, Finance, Financial Aid, Human Resources and Alumni.
IA's products and services will be integrated into SCT's Software and Technology Services (STS) unit in Malvern, which has responsibility for SCT's applications software products and related services for the higher education market. "The addition of IA's DEC and IBM mainframe- based administrative software to SCT's BANNER Series of administrative applications expands SCT's ability to effectively serve the higher education marketplace," said Michael D. Chamberlain, president of Software and Technology Services for SCT. "We are very excited about the opportunity that the combination of IA and SCT presents for both SCT and our clients."
Founded in 1968, SCT is a leading provider of applications software and computing management services for educational institutions, government jurisdictions and public and private utilities. The company services clients across North America and overseas.
