SYMANTEC CORPORATION ANNOUNCES INTENTION TO ACQUIRE FIFTH GENERATION; TECHNOLOGY TO COMPLEMENT NORTON DEVELOPMENT

 CUPERTINO, Calif., Aug. 31 /PRNewswire/ -- Symantec Corp. (NASDAQ: SYMC) announced today that it has signed an agreement to acquire Fifth Generation Systems Inc., the developer of FastBack, Safe, DiskLock, Pyro!, Suitcase and other utility software products. The acquisition of Fifth Generation complements Symantec's line of desktop utility products and contributes core technology to the company's development of Norton-brand utility products for use in network computing environments.
 Fifth Generation, based in Baton Rouge, La., develops and markets utilities for DOS, Windows, OS/2, UNIX, Macintosh and NetWare operating systems. Their broad product line includes single-user and network software for automating disk back-up, data security, data recovery and data management tasks. Fifth Generation president, Barry Bellue, will join Symantec to ensure that Fifth Generation's enterprise technology is quickly integrated into Symantec's utility effort. Bellue will also assist in the ongoing centralization of Symantec's service and support operations.
 Enterprise Management Utilities include security, data management and distribution tools that operate over wide-area networks to protect, manage and control information on a company-wide basis. The key to user acceptance of enterprise-wide utilities is a tight coupling to the desktop and workstation operating environments.

Eubanks, Jr., Symantec's president and chief executive officer. "This acquisition will allow us to compete more effectively with operating system vendors who are now providing desktop utilities and to evolve our solutions into enterprise-wide utilities."

 The acquisition of Fifth Generation is a pooling of interests in which Symantec will issue approximately 2.8 million shares of its common stock for the current outstanding shares of Fifth Generation's stock.
 The Fifth Generation organization will be integrated into Symantec's Peter Norton Computing Group. Bellue will report to Eubanks.
