SYBRON ANNOUNCES PLANS TO ACQUIRE DEMETRON RESEARCH CORPORATION AND LABINDUSTRIES

 MILWAUKEE, Nov. 4 /PRNewswire/ -- Sybron Corporation announced today plans to acquire two companies: Demetron Research Corporation, which fits into the dental segment of Sybron's businesses, and Labindustries, which fits into the laboratory segment of Sybron's businesses.
 Proposed Demetron Transaction
 Kerr Manufacturing Company, Sybron's dental materials company, has reached an agreement in principle with Demetron pursuant to which Kerr is to acquire the stock of Demetron. The completion of the transaction is subject to certain contingencies, including the negotiation and execution of a definitive purchase agreement, which the companies expect to complete shortly. It is expected that the transaction will be consummated by mid-December. Demetron, founded in 1972, is a manufacturer of high quality curing lights used by dentists to cure dental restorative materials. Its recent annual sales levels approximate $10 million.
 Kerr develops and manufactures a broad range of consumable dental products, including restorative materials (such as light-cured composites), impression materials, endodontic instruments and preventative products.
 Its products are marketed through independent dealers in the United States and abroad. According to Steve Semmelmayer, Kerr's general manager, "The Demetron acquisition provides a perfect complement to Kerr's line of light-cured restorative products and will result in the ability to leverage Kerr's distribution network."
 Labindustries Acquisition
 Labindustries and a newly formed subsidiary of Barnstead Thermolyne Corporation, Sybron's laboratory apparatus and water purification products company, have entered into a definitive agreement pursuant to which the Barnstead Thermolyne subsidiary is to acquire the assets of Labindustries. Labindustries, founded in 1961, is a manufacturer of precision liquid handling equipment, such as bottle-top liquid reagent dispensers and positive displacement micropipettors for laboratory use. Labindustries' recent annual sales levels approximate $3.1 million.
 Barnstead Thermolyne manufactures precision heating and stirring apparatus and water purification systems for the laboratory markets. Its products are marketed through independent dealers in the United States and abroad. According to Ken Townsend, Barnstead Thermolyne's president, "The Labindustries acquisition provides Barnstead Thermolyne with the perfect opportunity to leverage both our manufacturing and distribution assets, with a product that fits into our current line. We plan to bring the Labindustries products into our current facility for manufacturing and to distribute them through our current distribution system. We also believe that because Labindustries has not been able to focus on international markets, additional growth opportunities exist for the product line as we market it through our international distribution network."
 The transaction, expected to be completed by the end of November, is subject to certain contingencies, including the completion of Barnstead Thermolyne of its financial and legal review.
